WINNIPEG, MB, Nov. 6, 2026 /CNW/ -- FuelPositive Corp. (TSXV: NHHH) (OTCQB: NHHHF) ("FuelPositive" or the "Company") is pleased to report significant progress in preparing its patented FP300 on-farm Green Ammonia production system for demonstration at the Hiebert farm in Sperling, Manitoba. Following the mid-October inspection and on-site planning, the Company's expanded technical team is addressing the remaining requirements ahead of the anticipated final certification inspection.
October Inspection and Next Steps
Intertek's extensive mid-October inspection confirmed that many critical components of the FP300 demonstration facility already comply with the required Canadian certification requirements.
Their inspection confirmed that only a small number of clearly defined tasks remained ahead of the anticipated final certification inspection, and they provided practical guidance to address each outstanding item.
Working together in person at the farm, Intertek, Stantec, FuelPositive, and its newly expanded Manitoba-based technical team reviewed the required modifications, equipment needs, procurement priorities, and the required work sequence. FuelPositive is integrating the remaining electrical and mechanical activities with qualified field resources and coordinating with specialized suppliers to source the remaining components, prioritizing local suppliers.
Documentation and regulatory submissions are progressing alongside preparations for system testing. Once the prescribed work is complete, FuelPositive will coordinate the next Intertek inspection to obtain final certification. Once final certification and the remaining regulatory approvals are in place, FuelPositive will proceed with final testing and system activation, paving the way for decentralized Green Ammonia production and the full demonstration.
Expanded Engineering Expertise and Coordinated Field Execution
FuelPositive has appointed Stantec to assume project management, oversee engineering activities, and support the Company as it navigates the final provincial regulatory requirements with Manitoba Inspection and Technical Services and the provincial utility.
FuelPositive has also expanded its field execution support through a robust network of qualified chemical, electrical and mechanical service providers and contractors, specialized equipment suppliers, and technical specialists. Alongside Stantec's engineering coordination and regulatory expertise, these resources provide the flexibility to address installation requirements in real time and to meet procurement priorities as the demonstration advances toward full certification.
"Completing an integrated system requires managing many interdependent requirements, from equipment availability to field adaptation and government certification," said Ian Clifford, Co-Founder and Chief Executive Officer. "Varying lead times may necessitate alternative sourcing and engineering review. FuelPositive has tasked Stantec with coordinating the remaining work under the Company's oversight. Qualified specialists and suppliers are supporting the electrical, chemical and mechanical regulatory work required to bring the Manitoba demonstration system online. We've brought together an exceptional team that works closely together and shares our values and vision for decentralized Green Ammonia production. "
Expanded Chemical Engineering Expertise
Chemical engineering consultants Dogan Erdemir and Aysegul Yagmur Goren Kara have brought invaluable expertise to FuelPositive's technical team, supporting activation planning, testing, validation, and optimization.
Their contributions also support the development of complementary technologies and new potential intellectual property, while keeping the Manitoba demonstration the main focus and immediate priority.
"The Manitoba demonstration offers an important opportunity to link operating experience with further research and development," said Dogan Erdemir, a chemical engineering consultant to FuelPositive. "Our immediate focus is to support the team's demonstration objectives while exploring how complementary technologies could enhance future system performance and create additional value."
Farmer, Shareholder and Industry Engagement
The recent visit also brought longstanding shareholders together with the team and host farmer Curtis Hiebert. Hiebert highlighted ongoing interest in the project among farmers, stakeholders and others across the agriculture and fertilizer sectors, both domestically and internationally, as well as excitement about the prospect of greater control over fertilizer production and supply.
"Farmers, industry stakeholders, and others across the sector, including people around the world, keep asking how the project is progressing," said Hiebert. "The prospect of producing fertilizer on our own farms, as we need it, is what makes this project so exciting. I remain committed to this demonstration and look forward to seeing what the system can deliver under real-world farming conditions."
Commitment to Canadian Innovation
"Seeing our expanded team come together on the farm has strengthened our confidence in what this technology could deliver for farmers," said Luna Charlebois, Co-Founder and Chief Impact Officer. "Canada can better support emerging technologies by modernizing how it funds demonstration projects. Some programs exclude publicly listed companies even though these companies are subject to public reporting obligations. We urge policymakers to review those eligibility criteria, simplify lengthy and costly application processes, and create programs that help Canadian innovators bring promising technologies from development to demonstration. For farmers, that means a chance to see what technologies like ours could do for their fertilizer supply and, in turn, for Canada's food security."
"We are deeply grateful to our team for its persistence and to our shareholders for their patience and continued support. Together, we are moving closer to demonstrating what decentralized Green Ammonia production could offer farmers and remote communities in Canada and beyond," concluded Charlebois.
Further Debt Conversion
The Company also announces that it proposes to settle an aggregate of $304,533 in outstanding indebtedness (the "Indebtedness") by issuing 5,536,964 units (each, a "Debt Unit") at a deemed price of $0.055 per Debt Unit (the "Debt Settlement"). Each Debt Unit will consist of one common share in the capital of the Company (each, a "Common Share") and one common share purchase warrant (each, a "Debt Warrant"). Each Debt Warrant will be exercisable at $0.08 for sixty months. If the ten-day volume-weighted average closing price of the Common Shares on the TSX Venture Exchange exceeds $0.40, the Company will have the right to accelerate the expiry of the Debt Warrants.
The Company owes the Indebtedness to certain arm's-length service providers. All securities issued in connection with the Debt Settlement will be subject to resale restrictions for four months and one day under applicable securities laws. The completion of the Debt Settlement remains subject to approval by the TSX Venture Exchange.
FuelPositive views participating creditors' willingness to accept equity as a sign of confidence in the Company's direction and vision and celebrates their continued support.
About FuelPositive:
Fertilizer Independence and Farming Resilience
FuelPositive is a Canadian clean-tech company transforming agriculture through decentralized, on-farm Green Ammonia production systems. By enabling farmers to produce their own green nitrogen fertilizer and carbon-free fuel on-site, the Company is redefining the ammonia industry and putting control directly in the hands of those who feed the world. This model reduces reliance on volatile supply chains and unpredictable pricing, helping farmers secure their livelihoods and plan for the future.
Each tonne of ammonia produced by a FuelPositive system prevents up to two tonnes of CO2e emissions, offering both environmental and economic advantages. Designed for simplicity, reliability, and remote monitoring, the Company's containerized systems integrate seamlessly into farm operations. Made in Canada for Canadian conditions, they are engineered to be as straightforward to operate as they are impactful.
The first FP300 demonstration system, installed on an 11,000-acre grain farm in Sperling, Manitoba, is designed to produce 100 metric tonnes of Green Ammonia annually. This unit serves as the foundation for the FP1500 commercial system, which can generate 500 metric tonnes annually for farms of about 10,000 acres. Powered by sustainable electricity, the systems produce carbon-free ammonia on demand, offering a decentralized, cost-effective alternative to animal manure and fossil-fuel-based fertilizers and fuels.
The delivery of the FP300 to Tracy and Curtis Hiebert's farm in Sperling, Manitoba, marked a milestone in sustainable agriculture. Once activated, the system will demonstrate how local production can improve farm economics, reduce environmental impact, and strengthen resilience to climate change, market fluctuations, and global supply chain disruptions.
FuelPositive aims to position Canada as a global centre of excellence for decentralized Green Ammonia production and to establish a world-leading manufacturing hub. Supported by Stantec, one of the world's top engineering and consulting firms, this initiative will drive economic growth, create high-value jobs in engineering, science, and skilled trades, and promote a more resilient and sustainable food system.
FuelPositive is based in Ontario and Manitoba, Canada, and is listed on the TSX Venture Exchange under the symbol NHHH and on the OTCQB in the USA under the symbol NHHHF.
